Unless Wolverine can hit a borderline precognitive target moving at 80mph in 3 dimensions that's capable of ripping his arms out of their sockets (because while his bones are unbreakable, his joints are not) and is trained to do so, faster than the speed of sound with precision, he shouldn't win. In a sparring match or training session, sure. Not in a fight.
As much as I hate Wolverine, I gotta be fair. Spidey wouldn't be invincible against him. Spidey gets a beating in lots of comic books. But hey, it would be boring otherwise.

Wolverine is not double jointed and lacks the physical strength to break Spidey's webs. Spidey is sufficiently intelligent and precise enough with his webs to immobilize Wolverine in such a way as to ensure that he could not use his claws to free himself.
For that matter just layering Wolverine's claws with webs, completely encasing them, would produce the equivalent of padded sheaths rendering them effectively harmless to Spidey.
Wolverine is essentially a guy with a healing factor and unbreakable knives. Spidey has demonstrated the ability to defeat knife wielding opponents without breaking the knives and without needing to kill the wielder. Wolverine's two main strengths are not obstacles for Spidey as demonstrated on many occasions. Wolverine's third strength, his heightened sense of smell, is not even close to being on par with Spidey's own sensory enhancement.
I like both characters, but Spiderman wins hands down.

Pretty much. I think Spiderman is one of the few comic heroes that really does put a lot of effort into not harming people too seriously, even when fighting against other people with super powers, while many others tend to go all out. It kinda gives people a false impression of him that results in people forgetting about those times when he does finally get fed up or angry enough to really lay into someone.

True, but that's only relevant if it's a cage match. And even so, I'd say that Spidey could knock wolverine the *Chris Tucker* out and take a breather while Wolverine's crappy powers did their thing. In the comics, it usually only took Peter a quick breather to get back to full strength, unless he had a cold or something. :P

I think the key thing is what angle the Spiderman / Wolverine fight is based on.
Classic Spiderman is laced with lots of angsty dispair while standard Wolverine is more determined pragmatism with a fair bit of macho suffering.
Spiderman generally looses the first fight with a tough opponent, for example, so at least the first bout would go in Wolverine's favour and Wolverine would probably say something pithy (addressing Spiderman as "bub") ...

Wolverine was unable, even if he wanted to, to kill Charlemagne because he pulled his swipe and only wounded her while a tense and surprised Spidey killed her with one punch. Please take note :Spidey punched by reflex without any intention of killing.
Sure wolvie boasted that he could kill Spidey with a claw swipe while Spidey should have to use all his strenght to break his neck but I seriously doubt that Wolvie,even if willing would be able to, wheras Spidey is obviously pulling his punches all the time to avoid to kill his opponents. He himself stated it in the famous boxing match with Flash Thompson "If i strike him with my spider strenght i would kill him". The solution was that Spidey did strike Flash with only a slight move of the wrist , not the arm, and it was enough to kayo Flash next week.
