• It's automatic after a period of time. As someone else suggested you'll get an option to take control of the guild if you're the highest rank left. I inherited a guild that way when everyone else abandoned Neverwinter for Elder Scrolls. Best if the current leader promotes someone else to Leader before he leaves.

• I agree with all of what acorsaw said. IMO they broke the game with Tyranny of Dragons, when the number of repeatable quests necessary to get boons really skyrocketed.
